Terms of Service

1. Acceptance of Terms

By using the applications and software provided by Canbi sp. z o.o., you accept these Terms of Service. If you do not agree with these terms, please discontinue using our products.

Submitting the registration form requires prior acceptance of the current version of these Terms. Acceptance is recorded together with the Terms version identifier and the exact date and time of acceptance, and every accepted version remains available in the archive.

2. Intended Use (B2B)

The Remanently Platform is intended exclusively for businesses, public entities and other organisations using the Platform in connection with their activity. A natural person conducting business activity, by registering or ordering the Service, declares that the agreement is of a professional character for that person, resulting in particular from the subject of the business activity conducted.

Binding Polish wording: „Platforma Remanently jest przeznaczona wyłącznie dla przedsiębiorców, podmiotów publicznych oraz innych organizacji korzystających z Platformy w związku z prowadzoną działalnością. Osoba fizyczna prowadząca działalność gospodarczą, dokonując rejestracji lub zamawiając Usługę, oświadcza, że zawierana umowa ma dla niej charakter zawodowy, wynikający w szczególności z przedmiotu wykonywanej działalności."

3. Service Description

Canbi sp. z o.o. provides the Remanently Platform as SaaS, together with related applications supporting the management of an organisation's business processes, in particular in the areas of:

• asset and equipment management,
• tool and hardware management,
• warehouse management,
• maintenance management,
• customer relationship management,
• management of promotions, bonuses and Trade Marketing processes.

The scope of functionality available to a given Client depends on the Modules enabled, the Plan selected, the Platform configuration and individual arrangements with the Operator.

Remanently may work together with other systems used by the Client, in particular ERP, finance and accounting systems and other business systems, where such scope has been agreed with the Operator.

The Operator provides IT tools supporting the Client's processes and does not assume responsibility for the correctness of the Client's business processes, the accuracy of data entered by users, or decisions made on the basis of data processed in the Platform.

4. Expression of Interest and Account Creation

Submitting the registration form constitutes an expression of interest in using the Platform and does not automatically create an Account or conclude a paid agreement. The Operator may contact the applicant in order to verify the data, determine the needs and define the appropriate scope of access.

The Operator decides on the creation of an Account and may provide a free or demonstration Account, or present an offer for paid Services.

Operator może skontaktować się ze zgłaszającym w celu weryfikacji danych, ustalenia potrzeb oraz określenia odpowiedniego zakresu dostępu." oraz „Operator decyduje o utworzeniu Konta oraz może udostępnić Konto bezpłatne, demonstracyjne albo przedstawić ofertę korzystania z płatnych Usług."

5. License

The user receives a non-exclusive, limited license to use the applications and software during the term of the agreement.

The license does not include the right to copy, modify, resell, or otherwise commercially exploit beyond the scope agreed with Canbi sp. z o.o.

All intellectual property rights remain with Canbi sp. z o.o. or its licensors.

6. User Accounts

Some features require account creation. The user undertakes to:

• provide true and current information,
• maintain password and access data security,
• immediately report unauthorized access,
• take responsibility for all actions taken through their account.

7. Acceptable Use

The user undertakes not to engage in actions that could:

• violate intellectual property rights,
• transmit viruses, malware, or other harmful software,
• attempt unauthorized access to systems,
• disrupt service operations,
• use software in ways contrary to law.

8. Payment Terms

Use of some Remanently Services may be subject to fees.

The amount of fees, the scope of Services, the access period and other commercial terms follow from the current Pricing, the offer accepted by the Client, the order or other individual arrangements with the Operator.

Paid use of the Services starts only after the scope of Services has been agreed with the Operator and the relevant offer or order has been accepted by the Client.

Submitting the registration form alone does not start a paid subscription and does not create a payment obligation.

Unless agreed otherwise, fees for Services are payable in advance for the agreed billing period.

In the event of a payment delay, the Operator may, after a prior payment reminder, limit or suspend access to paid Services until the arrears are settled.

Terms concerning renewal, termination or change of paid access are set out in the Pricing, the offer, the order or individual arrangements with the Client.

9. Limitation of Liability

Software is provided "as is" without any guarantee of continuity, error-free operation, or fitness for a particular purpose.

Canbi sp. z o.o. is not responsible for:

• incorrect data entered by users,
• data loss resulting from user actions,
• business consequences of decisions based on application results,
• indirect damages, lost profits, business disruptions.

The total liability of Canbi sp. z o.o. towards the Client for non-performance or improper performance of the Services, regardless of the legal basis of the claim, is limited to the net remuneration actually paid to the Operator by the Client for the Services to which the claim relates, in the 12 months preceding the event giving rise to the claim.

The limitation of liability does not apply to the extent that excluding or limiting liability is not permitted under mandatory provisions of law.

10. Personal Data

Personal data is processed in accordance with Canbi sp. z o.o.'s Privacy Policy, available on the website.

11. Suspension and Termination of Access

The Operator may suspend or terminate access to the Platform or to specific Services in the event of a material breach of these Terms, a breach of Platform security, unlawful use of the Services or lack of a required payment.

The Client may stop using the Services in accordance with the terms applicable to the given Plan, offer, order or individual arrangements with the Operator.

Ending use of the Platform does not automatically create an obligation to refund fees already paid, unless this follows from applicable law or individual arrangements with the Client.

After access ends, the Operator may delete or anonymise data stored within the Account once the retention period set out in the Privacy Policy, the agreement, the order or individual arrangements with the Client has elapsed.

12. Governing Law

These terms are governed by Polish law. All disputes will be resolved by the court competent for Canbi sp. z o.o.'s registered office.

13. Terms Changes

Canbi sp. z o.o. may change these Terms in particular in the event of a change in the scope of Services, the way the Platform operates, applicable law, security requirements or the rules of providing the Services.

The Operator will inform about changes applicable to existing Clients with appropriate notice, in a way that allows the new wording of the Terms to be reviewed before it enters into force.

Continued use of the Platform alone does not replace separate acceptance of a new version of the Terms where such acceptance is required due to the nature of the changes or applicable law.

Every change is published as a new, identified version. Earlier versions remain available so that it is always possible to establish which version a specific user accepted.

14. Language Version

The binding version of the Terms of Service is the Polish version. Other language versions are informational only.
